Terms and Conditions

1. Application

1.1 These Terms and Conditions ("Terms") apply to all sales of goods supplied by Newtrent Ltd ("the Company") to its business customers ("the Customer").

1.2 By placing an order with the Company, the Customer confirms that they are purchasing goods for business purposes and agrees to be bound by these Terms.

1.3 The Company sells exclusively to trade and business customers. Consumer rights legislation does not apply to sales made on a business-to-business basis, except where required by law.

2. Orders

2.1 All orders are subject to acceptance by the Company.

2.2 Once an order has been accepted, it may not be cancelled or amended without the Company's prior written consent.

2.3 The Company reserves the right to refuse any order at its sole discretion.

3. Prices

3.1 Unless otherwise stated, all prices are exclusive of VAT and delivery charges.

3.2 Prices may be amended without prior notice. The price confirmed at the time an order is accepted will apply.

4. Payment

4.1 Payment must be made in accordance with the agreed payment terms.

4.2 The Company reserves the right to suspend deliveries or refuse future orders where payment remains outstanding.

4.3 Ownership of the goods shall remain with the Company until payment has been received in full.

5. Delivery

5.1 Delivery dates are estimates only and are not guaranteed.

5.2 Risk in the goods passes to the Customer upon delivery.

5.3 The Customer is responsible for ensuring that delivery details are accurate and that someone is available to accept delivery.

6. Inspection of Goods

6.1 The Customer must inspect all goods immediately upon delivery.

6.2 Any damaged, faulty, incorrect or missing items must be reported to the Company in writing within five (5) working days of delivery.

6.3 When submitting a claim, the Customer must provide:

  • the relevant order number;

  • a description of the issue; and

  • clear photographs showing the defect, damage or discrepancy.

6.4 Claims submitted after the five (5) working day period may not be accepted.

6.5 The Company reserves the right to inspect the goods and may require the goods to be returned before approving any claim.

7. Returns

7.1 All returns must receive prior written authorisation from the Company before being returned.

7.2 Approved returns must be received in their original, unworn, unwashed and resaleable condition, with all original tags and packaging intact, unless the return relates to an approved manufacturing fault.

7.3 Customers are responsible for the cost of return shipping unless the return results from an error by the Company or an approved manufacturing defect.

7.4 Returns sent without prior written authorisation may be refused and returned to the Customer at the Customer's expense.

8. Refunds and Store Credit

8.1 The Company operates a strict no-refund policy for all wholesale purchases.

8.2 Where a return or claim is approved, the Company will issue store credit only for the approved value of the goods.

8.3 Store credit:

  • is non-transferable;

  • cannot be exchanged for cash;

  • may only be redeemed against future purchases from the Company.

8.4 No cash refunds or payment reversals will be provided except where required by applicable law.

9. Non-Returnable Goods

The following will not be accepted for return:

  • goods reported more than five (5) working days after delivery;

  • goods that have been worn, washed, altered or damaged after delivery;

  • goods returned without prior written authorisation;

  • goods that are not in a resaleable condition, except where an approved manufacturing fault has been confirmed.

10. Product Variations

10.1 Due to normal manufacturing processes, slight variations in colour, shade, fabric texture, garment measurements, stitching and finishing may occur.

10.2 Such minor variations are considered acceptable manufacturing tolerances and do not constitute defects or grounds for return, refund or store credit.

11. Limitation of Liability

11.1 The Company's total liability in respect of any claim shall not exceed the purchase price of the goods giving rise to the claim.

11.2 The Company shall not be liable for any indirect, consequential or economic loss, including loss of profits, loss of business, loss of goodwill or loss of opportunity.

12. Force Majeure

The Company shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to natural disasters, transport disruptions, industrial disputes, supplier shortages, government action or other unforeseen circumstances.

13. Intellectual Property

All trademarks, logos, product photographs, catalogues, marketing materials and other intellectual property remain the property of the Company and may not be copied, reproduced or used without the Company's prior written consent.

14. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England & Wales, and the courts of that jurisdiction shall have exclusive jurisdiction over any dispute arising from these Terms.

15. General

15.1 Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of that provision.

15.2 If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 These Terms constitute the entire agreement between the Company and the Customer in relation to the sale of goods and supersede any prior discussions, representations or agreements.

15.4 The Company reserves the right to amend these Terms from time to time. The version in force at the date an order is accepted shall apply to that order.
